There is a difference between a business that is growing and a business that a sophisticated buyer will pay a premium to own. Cube Capital's work lives in that gap.
Exit Advisory
North American strategic acquirers and PE-backed platforms often pay materially more for Australian technology businesses than domestic buyers. That premium is real. It is not automatic. It is available to businesses that have the right structural characteristics and reach the right buyers through relationships that produce a serious conversation rather than a courtesy review. Both conditions need to be met. Cube Capital's Exit Advisory practice is built around meeting both.
Cube Capital works exclusively on the sell side. That sentence removes a structural conflict present in firms that advise both buyers and sellers: the incentive to close a transaction rather than to achieve the founder's outcome. When Cube Capital is retained, its interests and the founder's interests are the same thing.
Every Exit Advisory mandate is led personally by Hani Iskander across every stage: from buyer universe research and information memorandum preparation through parallel process management, negotiation, and close. A process that changes hands at the critical moments loses information, momentum, and credibility at exactly the point where all three matter most.
Assessment
Understanding the business, its strategic position, and the buyer market before any process begins.
Preparation
Information memorandum, financial presentation, and buyer-ready documentation.
Approach
Targeted outreach to the specific buyer universe most likely to pay a premium.
Process
Managing the negotiation, diligence, and term sheet process on the founder's behalf.
Close
Transaction execution, legal coordination, and post-signing support.
Cube Capital's Exit Advisory practice works with Australian technology businesses (software, SaaS, and technology-enabled services) with annual revenue between $5 million and $50 million, privately held, with a founder or controlling shareholder in charge of the transaction decision.
Selected Situations
An EDI software vendor engaged Cube Capital on a sell-side mandate. With a transaction near completion, a second acquirer entered the process. Within days, Cube restructured the negotiation, moved the process to the new party, and secured a materially higher outcome than the original offer would have produced. The client's assessment was that the result would not have been achievable without the speed and judgment applied at that moment.
A software business headquartered in China and Hong Kong retained Cube Capital to advise on a capital raise. The work involved restructuring the company's product and services assets, spinning off one business unit into a newly formed Singapore entity, and repositioning the restructured group for investors. The transaction closed in the new format.
Request a Signal CheckNexxit™ — Exit Preparation
Most founders arrive at a sale process having spent years building a great business and weeks preparing for the transaction. The buyers evaluating them have spent months building a model the founder never saw. Nexxit is Cube Capital's proprietary methodology that closes that gap.
Nexxit Discover
A structured diagnostic across the five readiness workstreams that buyers evaluate before making an offer, delivered as a written Gap Map. The starting point for every Nexxit engagement.
Nexxit Build
An ongoing monthly advisory engagement through the preparation period. Working with the founding team to address the highest-priority findings and track progress against buyer criteria.

The state a founder reaches when the evidence a buyer needs to pay a premium has been built into the business, not assembled for a data room.
Full program details →Founders who have not completed Nexxit can engage Cube Capital directly on an Exit Advisory mandate. The same diagnostic logic is incorporated into the early phase of the transaction process.
Request a Signal CheckCapital Raising
For technology founders who need growth capital before a transaction, or who are restructuring their shareholder base ahead of an exit, Cube Capital advises on equity capital raises from strategic investors and financial sponsors. The same cross-border relationships that underpin the Exit Advisory practice apply equally to capital raising: investors in North America and Asia who are active in the Australian technology sector.
Capital raising and exit preparation are frequently part of the same multi-year engagement. A founder who raises capital at the right point, from the right investor, arrives at a sale process with a shareholder structure and a governance record that increases rather than complicates the exit outcome.
Request a Signal Check →Board Advisory
For founders and boards navigating decisions that precede or follow a transaction (strategic positioning, category risk, the right moment to initiate a process), Cube Capital provides board-level advisory on a retained basis. This is specific, senior counsel on the questions that determine whether a technology business maximises or leaves behind the value it has created.
Many Board Advisory engagements evolve into Nexxit or Exit Advisory mandates as the founder's thinking about timing clarifies. The value of beginning that relationship early is that the external view of the business accumulates before the pressure of an imminent transaction compresses the time available to act on it.
